Terms of Service

By accessing or using Namearch (namearch.com), operated by Sodasoft LLC, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

These terms apply to all users, including buyers, sellers, and visitors. By creating an account or completing a transaction, you confirm that you are at least 18 years old and have the legal capacity to enter into binding agreements.

Namearch uses passwordless magic-link authentication. You register with your email address and receive a login link for each session. You are responsible for maintaining access to your registered email account and for all activity under your account.

You agree to provide accurate, current information during registration. We reserve the right to suspend or terminate accounts that contain false information, are used fraudulently, or violate these terms.

Sellers may list domain names for sale on Namearch. By listing a domain, you represent and warrant that:

• You are the rightful owner or authorized representative of the domain.
• The domain is not subject to any legal disputes, liens, or encumbrances.
• You have the right and ability to transfer the domain to a buyer.
• The listing information is accurate and not misleading.

Namearch reserves the right to remove any listing at our discretion, including listings that appear fraudulent, infringe on third-party rights, or violate these terms.

Namearch verifies domain ownership through DNS TXT records. Sellers must add a unique verification code to their domain's DNS settings. This process confirms that the seller controls the domain's DNS configuration.

DNS verification is a technical ownership check, not a legal guarantee. While it significantly reduces the risk of fraudulent listings, Namearch does not guarantee that a verified seller holds clear legal title to a domain. Buyers should conduct their own due diligence.

Seller Fees

• Fixed-price sales: 6% of the sale price, deducted at settlement.
• Negotiated/offer sales: 8% of the agreed sale price, deducted at settlement.
• Assisted transfers (optional): An additional 3% or $79 minimum, for hands-on transfer support.

Listing domains on Namearch is free. Fees are only charged when a sale is completed.

Payment Processing

All transactions are processed through Escrow.com, a licensed escrow service. Namearch does not directly hold buyer or seller funds. Escrow.com collects payment from the buyer, holds it during the domain transfer, and releases funds to the seller (minus Namearch's fee) once the transfer is confirmed.

By completing a transaction, you agree to Escrow.com's terms of service in addition to these terms. Escrow.com fees, if any, are separate from Namearch marketplace fees.

Once a sale is agreed and payment is secured through Escrow.com, the seller must initiate the domain transfer within the timeframe specified in the transaction. Sellers are responsible for unlocking the domain, providing authorization codes, and cooperating with the transfer process.

If a seller fails to transfer the domain as described, the buyer's payment will be refunded through Escrow.com. Repeated failure to complete transfers may result in account suspension or termination.

You agree not to:

• List domains you do not own or are not authorized to sell.
• Provide false or misleading information in listings or during registration.
• Manipulate valuations, reviews, or marketplace data.
• Engage in shill bidding, wash trading, or any form of market manipulation.
• Use the platform for money laundering, fraud, or any illegal activity.
• Circumvent fees by arranging off-platform transactions after initial contact on Namearch.
• Interfere with the platform's operation, security, or other users' experience.
• Scrape, crawl, or collect data from Namearch without written permission.

The Namearch name, logo, design, and all platform content (excluding user-generated listings) are the property of Sodasoft LLC. You may not use our trademarks or branding without written permission.

Namearch respects intellectual property rights. If you believe a domain listing infringes your trademark or other IP rights, contact us at hello@namearch.com with details of the alleged infringement. We will review and respond in accordance with applicable law.

Namearch provides AI-assisted domain valuations as a reference tool. These valuations are algorithmic estimates based on publicly available data and are not appraisals, guarantees of value, or financial advice. You should not rely solely on AI valuations when making buying or selling decisions.

Namearch is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

Namearch is a marketplace that connects buyers and sellers. We are not a party to the domain sale transaction itself. We do not guarantee the quality, legality, or transferability of any domain listed on the platform.

To the maximum extent permitted by law, Sodasoft LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Namearch.

Our total liability for any claim related to the platform shall not exceed the fees you paid to Namearch in the twelve (12) months preceding the claim.

You may close your account at any time by contacting us at hello@namearch.com. We may suspend or terminate your account at any time for violations of these terms, suspected fraud, or any reason at our sole discretion.

Upon termination, your active listings will be removed. Any pending transactions will be handled according to Escrow.com's policies. Sections of these terms that by their nature should survive termination (including liability limitations, disclaimers, and governing law) will remain in effect.

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these terms or your use of Namearch shall be resolved in the state or federal courts located in Delaware.

We may update these terms from time to time. When we make material changes, we will notify registered users by email and update the effective date at the top of this page. Continued use of Namearch after changes take effect constitutes acceptance of the revised terms.
